OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA, EXCLUDING WASHINGTON, WHO ARE TWENTY-ONE (21) YEARS OF AGE OR OLDER. VOID IN WASHINGTON, CANADA, AND WHERE OTHERWISE PROHIBITED OR RESTRICTED BY LAW. RESTRICTIONS APPLY TO RESIDENTS OF NEW YORK AND FLORIDA THAT MAY LIMIT THE NUMBER AND VALUE OF PRIZES AWARDED TO THEM (SEE SECTION 10).
THESE OFFICIAL RULES ARE A CONTRACT. THEY INCLUDE A RELEASE OF CLAIMS, AN INDEMNITY, AND A BINDING ARBITRATION PROVISION WITH A CLASS ACTION WAIVER (SECTION 19). PLEASE READ THEM CAREFULLY.
1. SPONSOR
The Promotion (defined below) is sponsored and administered by Grand Cru Concepts Ltd., a company incorporated under the laws of Cyprus, Arch. Makariou III & Evagorou, 1-7, MITSI 3, 1st Floor, Flat/Office 102, 1065, Nicosia, Cyprus (“Sponsor”). The WPT®, World Poker Tour®, and WPT Home Game names and marks are used under license. Wynn Las Vegas is not a sponsor or co-sponsor of the Promotion and does not endorse it.
2. PROMOTION DESCRIPTION AND PROMOTION PERIOD
The WPT® Home Game “We’re Sending Your Home Game to Vegas!” Club Creation Promotion (the “Promotion”) is a sweepstakes. It begins at 12:00:00 a.m. Pacific Time (“PT”) on November 1, 2026 and ends at 11:59:59 p.m. PT on November 25, 2026 (the “Promotion Period”). Sponsor’s servers are the official time-keeping device for the Promotion. Activity occurring before or after the Promotion Period does not count toward entry.
During the Promotion Period, each private club in the WPT Home Game app that satisfies the requirements of Section 5 will receive one (1) entry into a random drawing. One (1) winning club will be selected, and up to nine (9) eligible members of that club will each receive a Prime Package to the WPT® Prime Championship at Wynn Las Vegas, as described in Section 10.
By participating in the Promotion, each participant unconditionally accepts and agrees to comply with these Official Rules and the decisions of Sponsor, which are final and binding in all matters relating to the Promotion. These Official Rules are in addition to, and shall be read together with, the WPT Home Game Terms & Conditions available at https://www.wpthomegame.com/terms-conditions/ (the “Home Game Terms”). In the event of a direct conflict between these Official Rules and the Home Game Terms with respect to the Promotion, these Official Rules shall control. Entry in the Promotion does not constitute entry into any other promotion, contest, sweepstakes, or tournament, including any WPT Home Game freeroll series.
3. DEFINITIONS
As used in these Official Rules:
(a) “Club” means a private club created in the WPT Home Game app using the app’s club-creation feature.
(b) “Club Owner” means the Eligible Participant who created a Club and who is identified as its owner in Sponsor’s records.
(c) “Club Member” means an Eligible Participant, including the Club Owner, who has joined a Club through the WPT Home Game app.
(d) “Eligible Participant” means an individual who satisfies every requirement of Section 4.
(e) “Qualifying Hand” means a hand of poker that (i) is dealt to completion during the Promotion Period at a ring game or tournament table hosted within a Club; and (ii) has at least two (2) Club Members of that Club dealt in. A hand is counted once, regardless of how many players are dealt in. Hands played in public clubs or public tables (including the WPT Poker Playground), in freerolls or other tournaments or events hosted by Sponsor, in practice or tutorial modes, or at tables where fewer than two (2) Club Members are dealt in are not Qualifying Hands.
(f) “Qualifying Club” means a Club that satisfies all requirements of Section 5.
(g) “Prize Recipient” means a Club Member of the winning Qualifying Club who is designated and verified in accordance with Section 9.
(h) “Promotion Entities” means Sponsor, Bellota Labs Inc., WPT Enterprises, Inc., ClubWPT, Wynn Las Vegas, and each of their respective parents, subsidiaries, affiliates, licensors, prize suppliers, advertising and promotion agencies, and any other entity involved in the development, production, administration, or fulfillment of the Promotion, and each of their respective officers, directors, employees, contractors, and agents.
4. ELIGIBILITY
The Promotion is open only to individuals who, at the time of participation and at the time of prize award:
(a) are legal residents of one of the fifty (50) United States or the District of Columbia, excluding residents of Washington, and excluding residents of any jurisdiction identified as an “Excluded Territory” in the Home Game Terms or in which the Promotion is otherwise prohibited or restricted by law;
(b) are physically located outside Washington and every other Excluded Territory when they play any hand counted toward the Promotion;
(c) are at least twenty-one (21) years of age and the age of majority in their jurisdiction of residence;
(d) hold a single WPT Home Game account in good standing that is registered in their own name with accurate and complete information, and that has not been suspended, restricted, or closed;
(e) are able to travel to Las Vegas, Nevada on the prize dates stated in Section 10, hold a valid, unexpired government-issued photo identification, and are not prohibited from entering Wynn Las Vegas or from participating in a World Poker Tour event, including by reason of any self-exclusion, involuntary exclusion, or exclusion list; and
(f) may lawfully enter the Promotion and accept the prize under the laws of their jurisdiction of residence and present location.
Officers, directors, employees, official ambassadors, contractors, and agents of the Promotion Entities, and the immediate family members (spouse, domestic partner, parent, child, sibling, and each of their respective spouses, regardless of where they live) and household members (whether or not related) of each, are not eligible to participate in the Promotion, to count toward any Club’s membership requirement, or to receive a prize.
Individuals who are not Eligible Participants, including WPT Home Game users located in Canada, may continue to play in a Club, but they do not count as Club Members for any purpose of these Official Rules and may not be Prize Recipients. Each individual is responsible for knowing and complying with all eligibility requirements and applicable laws. Sponsor may restrict eligibility to enter or to claim a prize as necessary for legal or regulatory compliance.
5. HOW TO ENTER
No purchase, payment, subscription, or in-app purchase of any kind is necessary to enter or win, and no payment or purchase of any kind, by any Club Owner or Club Member, will affect a Club’s eligibility, its qualification, the number of entries it receives, or its odds of winning. A Club receives one (1) entry into the drawing when all of the following are completed during the Promotion Period:
Step 1. Create a Club. An Eligible Participant creates a new Club in the WPT Home Game app during the Promotion Period and becomes its Club Owner. Clubs created before 12:00:00 a.m. PT on November 1, 2026 are not eligible.
Step 2. Have at least four (4) Club Members. The Club must have at least four (4) Club Members, including the Club Owner, each of whom is dealt into at least one (1) Qualifying Hand in that Club during the Promotion Period.
Step 3. Play two hundred (200) hands. The Club must reach a cumulative total of at least two hundred (200) Qualifying Hands during the Promotion Period.
A Club that completes Steps 1 through 3 becomes a Qualifying Club and is entered automatically. No separate entry form is required. The following limits apply:
(a) Each Qualifying Club receives one (1) entry, regardless of the number of Qualifying Hands played above two hundred (200) or the number of Club Members above four (4).
(b) An individual may be the Club Owner of only one (1) Qualifying Club.
(c) An individual may be counted toward the four (4) Club Member minimum of only one (1) Qualifying Club. If an individual would otherwise count toward the minimum of more than one (1) Club, Sponsor will count that individual only toward the Club in which that individual was first dealt into a Qualifying Hand during the Promotion Period.
(d) Qualification is determined solely by Sponsor’s servers and records. Any progress indicator, hand counter, or notice displayed in the app or in Promotion communications is provided for convenience only and does not establish qualification or entry.
WPT Home Game is free to download and play. Chips used in WPT Home Game are virtual play chips with no monetary value; they cannot be redeemed, exchanged, or sold for money, prizes, or anything of value, and they do not constitute entries in the Promotion. Normal internet access, mobile data, and message charges from a participant’s provider may apply and are the participant’s sole responsibility.
6. FREE-PLAY CONDITION
The Promotion is offered only in connection with free play. A Club and its Club Members may not use WPT Home Game, the Club, or any Club game in connection with real-money gambling of any kind, including by collecting buy-ins or rake, accepting side bets, or settling, paying, or transferring money or anything of value based on chips, hands, pots, results, or balances, whether through WPT Home Game or through any third-party payment service or offline arrangement. Sponsor may disqualify any Club, Club Owner, or Club Member that Sponsor reasonably believes has engaged in any such conduct, and may take any other action permitted by the Home Game Terms.
7. FAIR PLAY AND DISQUALIFICATION
Sponsor may disqualify any Club, Club Owner, or Club Member, void any entry, and withhold or revoke any prize if Sponsor reasonably believes that the Club or any Club Member has:
(a) created or used fake, duplicate, shared, or automated accounts, or formed a Club consisting in whole or in part of accounts under common control;
(b) colluded, chip-dumped, soft-played, or otherwise manipulated or artificially inflated the number of hands played, including by playing “dummy” hands or by using game settings in a manner intended to generate hands without genuine play;
(c) used bots, scripts, automation, or any other software-assisted or unfair method;
(d) used a VPN, proxy, or other means to disguise location, or participated from an Excluded Territory;
(e) provided false, misleading, or incomplete information; or
(f) breached these Official Rules or the Home Game Terms, or acted in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person.
Sponsor’s determinations regarding eligibility, Club membership, Qualifying Hands, qualification, and disqualification are final and binding. Sponsor reserves the right to seek damages and other remedies from any person who tampers with or undermines the Promotion, to the fullest extent permitted by law.
8. WINNER SELECTION AND ODDS
On or about November 30, 2026, Sponsor or its designated administrator will select one (1) potential winning Qualifying Club in a random drawing from among all Qualifying Clubs. The odds of winning depend on the total number of Qualifying Clubs. Sponsor may conduct additional random drawings from among the remaining Qualifying Clubs to select one or more alternate potential winning Clubs, to be used in the order drawn if a potential winning Club is disqualified or forfeits the prize.
9. NOTIFICATION, DESIGNATION, AND VERIFICATION
Sponsor will notify the Club Owner of the potential winning Club by email to the address registered to the Club Owner’s WPT Home Game account, and may also notify the Club Owner by in-app message. The Club Owner must respond within forty-eight (48) hours after Sponsor sends the first notification and, in that response, designate up to nine (9) Prize Recipients from among the Club Members of the winning Club. The Club Owner may designate himself or herself as a Prize Recipient. For each designated Prize Recipient, the Club Owner must provide the individual’s full legal name, WPT Home Game username, and the email address registered to that individual’s account.
Each designated Prize Recipient will be contacted directly by Sponsor and must independently satisfy the verification and document requirements of Section 12. If a designated Prize Recipient is ineligible, cannot be reached, fails to return the Prize Claim Documents on time, or declines the prize, that individual’s Prime Package will be forfeited, unless Sponsor, in its sole discretion and where time permits, allows the Club Owner to designate a replacement from among the eligible Club Members of the winning Club.
If the Club Owner fails to respond and complete the designation on time, is found to be ineligible, or fails to comply with these Official Rules, the Club may be disqualified, the entire prize forfeited, and an alternate potential winning Club selected. Sponsor is not responsible for any notification that is lost, intercepted, filtered, or not received for any reason.
The Club Owner’s designation of Prize Recipients is final. Sponsor is not responsible for, and will not resolve, any dispute among Club Members regarding designation or allocation of Prime Packages. No individual is a winner unless and until Sponsor has verified that individual’s eligibility and compliance with these Official Rules. Sponsor will not accept screenshots or any other purported evidence of qualification in place of its own records.
10. PRIZE
Prize. Up to nine (9) “Prime Packages” will be awarded, one (1) to each Prize Recipient. Each Prime Package consists of:
(a) Tournament buy-in. One (1) buy-in to the $1,100 WPT® Prime Championship No-Limit Hold’em tournament at Wynn Las Vegas, which is scheduled for December 5–12, 2026, for entry into one (1) Day 1 starting flight selected by the Prize Recipient, subject to Section 10 (Tournament registration). Approximate retail value (“ARV”): $1,100.
(b) Hotel accommodation. Three (3) nights of hotel accommodation in one (1) standard, single-occupancy room at Wynn Las Vegas for the Prize Recipient’s sole use, with check-in on December 7, 2026 and check-out on December 10, 2026, covering the room rate, the hotel’s daily resort fee, and the taxes on each. Rooms are not shared among Prize Recipients. ARV: $750.
ARV of each Prime Package: $1,850. Total ARV of all prizes, if nine (9) Prime Packages are awarded: $16,650. If fewer than nine (9) Prize Recipients are designated and verified, fewer Prime Packages will be awarded, and no substitute, cash, or other compensation will be provided for any Prime Package that is not awarded or used.
New York and Florida residents. Restrictions apply to residents of New York and Florida that limit the number and value of prizes they may receive. The aggregate ARV of all Prime Packages awarded to residents of New York shall not exceed $5,000, and the aggregate ARV of all Prime Packages awarded to residents of Florida shall not exceed $5,000. Accordingly, no more than two (2) Prime Packages (aggregate ARV: $3,700) will be awarded to residents of New York, and no more than two (2) Prime Packages (aggregate ARV: $3,700) will be awarded to residents of Florida, in each case including any Prime Package awarded to a Club Owner. If a Club Owner designates more Prize Recipients from either State than this limit permits, Sponsor will award Prime Packages to the residents of that State in the order in which the Club Owner listed them, and the Club Owner may, within the time Sponsor allows, designate replacement Prize Recipients from among eligible Club Members who are not residents of that State. Any Prime Package that cannot be awarded consistent with this paragraph will not be awarded, and no substitute, cash, or other compensation will be provided. Residency is determined by Sponsor’s verification under Section 12.
Not included. The prize does not include, and each Prize Recipient is solely responsible for, airfare and all other transportation, ground transfers, meals and beverages, gratuities, hotel charges other than the room rate, daily resort fee, and associated taxes described in Section 10(b), incidental charges, additional hotel nights, travel insurance, spending money, and every other cost or expense not expressly listed above. The hotel may require each Prize Recipient to present a valid credit or debit card at check-in for incidental charges.
Tournament participation. Each buy-in is valid only for the 2026 WPT Prime Championship and only for the Prize Recipient. It may not be applied to any other event, transferred, refunded, sold, or exchanged for cash. Each Prize Recipient must comply with all registration, identification, tax-reporting, and conduct requirements of the World Poker Tour and Wynn Las Vegas, and with all applicable tournament rules.
Tournament registration. Sponsor will provide each buy-in in the manner Sponsor determines, which may include a buy-in voucher, credit, or prepaid registration issued in the Prize Recipient’s name. Each Prize Recipient is solely responsible for registering himself or herself for the tournament with the World Poker Tour and Wynn Las Vegas, including selecting an available Day 1 starting flight, presenting valid identification, completing any registration and tax forms required by the tournament or venue, and completing registration before the applicable registration deadline. Sponsor will not register any Prize Recipient and is not responsible if a desired starting flight is full or unavailable. A Prize Recipient who fails to register on time or to appear for play forfeits the buy-in, and no substitute or compensation will be provided. Any tournament winnings belong to the Prize Recipient who earns them, are subject to the tournament and venue’s withholding and reporting requirements, and are not part of the prize. If a Prize Recipient advances in the tournament beyond December 10, 2026, any additional accommodation, travel, and other costs are that Prize Recipient’s responsibility.
Prize conditions. Prize dates are set by Sponsor and are not subject to change. Prizes are non-assignable and non-transferable, and no cash alternative or substitution is permitted, except that Sponsor may substitute a prize, or any component of a prize, of equal or greater value if the advertised prize or component becomes unavailable, in whole or in part, for any reason. Actual value may vary, and any difference between the ARV and actual value will not be awarded. All prize details not specified in these Official Rules will be determined by Sponsor in its sole discretion. Prizes pictured in Promotion materials are for illustrative purposes only. Limit one (1) Prime Package per person.
No obligation to hold any event. Nothing in these Official Rules requires Sponsor to hold, or cause to be held, any tournament, accommodation, or other activity described in this Section (each a “Prize Event”) at any particular time or at all. If a Prize Event does not or cannot take place as scheduled or at all, for any reason, including scheduling conflict, cancellation, postponement, venue or supplier unavailability, or a Force Majeure event (as defined in Section 17), Sponsor may award a substitute prize of comparable value, which shall constitute full satisfaction of Sponsor’s prize obligation, and no other or additional compensation will be awarded.
11. TRAVEL AND CONDUCT
Each Prize Recipient is responsible for arranging his or her own travel to and from Las Vegas, Nevada, and travels at his or her own risk. Sponsor makes no representation regarding the availability of any travel option. If a Prize Recipient engages in behavior that Sponsor, Wynn Las Vegas, or tournament staff determines, in their sole discretion, to be obnoxious, threatening, illegal, or intended to annoy, abuse, threaten, or harass any other person, Sponsor reserves the right to terminate that Prize Recipient’s prize, in whole or in part, and that Prize Recipient may be removed from any venue, with no further compensation.
12. PRIZE CLAIM DOCUMENTS AND TAXES
Award of each Prime Package is conditioned on the Prize Recipient (and, where Sponsor requires, the Club Owner) executing and returning, within three (3) days after Sponsor’s request, each of the following in the form provided by Sponsor: an Affidavit of Eligibility; a Liability Release; a Travel Release; where lawful, a Publicity Release; an IRS Form W-9; and any other documents Sponsor reasonably requires (collectively, the “Prize Claim Documents”). Each Prize Recipient must also pass any identity, age, residency, and eligibility verification that Sponsor conducts. Failure or refusal to return all Prize Claim Documents on time, failure to pass verification, or failure to comply with these Official Rules may result in disqualification and forfeiture of the Prime Package.
All federal, state, and local taxes on the prize, and the reporting consequences thereof, are the sole responsibility of each Prize Recipient. Sponsor will issue each Prize Recipient an IRS Form 1099 reflecting the ARV of the Prime Package that Prize Recipient receives, as required by law.
13. PUBLICITY
Except where prohibited by law, by participating in the Promotion each participant grants the Promotion Entities, and their respective successors, assigns, and licensees, the irrevocable right to use the participant’s name, WPT Home Game username, Club name, city and state of residence, photograph, likeness, voice, statements, and biographical information in any and all media now known or later devised, without further notice, review, approval, or compensation, for advertising, promotional, and trade purposes in connection with the Promotion, WPT Home Game, ClubWPT™ Gold, and World Poker Tour programs and events. Each participant releases the Promotion Entities from any liability with respect to such use, except where prohibited by law.
14. PRIVACY AND COMMUNICATIONS
Personal information collected in connection with the Promotion will be used in accordance with Sponsor’s Privacy Policy, available at https://www.wpthomegame.com/privacy-policy/. Information collected may be used to verify eligibility and identity, administer the Promotion, contact potential winners and Prize Recipients, arrange and deliver prizes, comply with law, and publish any legally required winners list. By participating, each participant agrees to receive email and in-app communications relating to the administration of the Promotion. Any marketing communications are subject to the Privacy Policy and to the participant’s right to opt out at any time.
15. REPRESENTATIONS AND INDEMNIFICATION
Each participant represents and warrants that all information he or she provides in connection with the Promotion is true, accurate, and complete, and that he or she satisfies the eligibility requirements of Section 4. Each participant agrees to indemnify and hold the Promotion Entities harmless from and against any and all third-party claims, actions, or proceedings, and any and all resulting damages, liabilities, costs, and expenses (including reasonable attorneys’ fees), arising out of or relating to the participant’s breach or alleged breach of these Official Rules or the participant’s participation in the Promotion. SPONSOR MAKES NO WARRANTIES, AND HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, CONCERNING ANY PRIZE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALL PRIZES ARE PROVIDED “AS IS.”
16. GENERAL LIABILITY RELEASE
Participants agree that the Promotion Entities and, if applicable, any social media platform (a) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses, or damages of any kind, including death, bodily injury, and damage to real or personal property, arising in whole or in part, directly or indirectly, from participation in the Promotion or any Promotion-related activity, or from the acceptance, receipt, possession, use, or misuse of any prize, including travel and participation in any Prize Event; and (b) have not made any warranty, representation, or guarantee, express or implied, in fact or in law, with respect to any prize.
Sponsor is not responsible for incorrect or inaccurate entry or account information; lost, interrupted, or unavailable networks, servers, or connections; failed, incomplete, or delayed data transmissions; errors in recording or counting hands or Club membership caused by any equipment, programming, or human or technical error; or any damage to any person’s computer, phone, or other device related to participation in the Promotion.
Each participant acknowledges that travel and attendance at a live event carry certain risks, and voluntarily assumes the full risk of any physical or psychological injury, cost, damage, or loss, regardless of severity, that he or she may suffer as a result of participating in the Promotion or any Prize Event. If a participant is injured in the course of participating in the Promotion, that participant’s participation shall be considered consent to receive medical assistance or treatment at his or her own expense, and the Promotion Entities will not obtain insurance on any participant’s behalf. NOT ALL HAZARDS AND DANGERS CAN BE FORESEEN. ACCORDINGLY, EACH PARTICIPANT UNCONDITIONALLY AND FOREVER RELEASES THE PROMOTION ENTITIES AND ANY THIRD-PARTY ORGANIZERS AND PROVIDERS OF ANY PRODUCTS OR SERVICES USED IN THE PROMOTION, AND EACH OF THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS, FROM ANY AND ALL CLAIMS UNDER ANY THEORY OF LIABILITY, INCLUDING CONTRACT, WARRANTY, OR TORT (INCLUDING NEGLIGENCE, STRICT LIABILITY, AND PRODUCT LIABILITY), AND ALL RESULTING JUDGMENTS, COSTS, DAMAGES, LOSSES, EXPENSES, AND LIABILITIES, INCLUDING ANY DEATH, PERSONAL INJURY, OR PROPERTY DAMAGE THAT THE PARTICIPANT MAY SUFFER IN THE COURSE OF OR AS A RESULT OF PARTICIPATION IN THE PROMOTION. EACH PARTICIPANT SPECIFICALLY WAIVES ANY BENEFIT UNDER CALIFORNIA CIVIL CODE SECTION 1542, OR ANY SIMILAR LAW, WHICH PROVIDES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” Nothing in these Official Rules excludes or limits any liability that cannot be excluded or limited under applicable law.
17. SPONSOR’S RESERVED RIGHTS AND FORCE MAJEURE
Sponsor reserves the right to modify, extend, suspend, or terminate the Promotion, in whole or in part, if Sponsor determines, in its sole discretion, that the Promotion is technically impaired or corrupted, or that fraud, technical problems, failures, malfunctions, or other causes beyond Sponsor’s control have impaired the integrity, administration, security, proper play, or feasibility of the Promotion. If the Promotion is terminated before the scheduled end of the Promotion Period, Sponsor may, where permitted by law, conduct the drawing from among all Clubs that qualified before termination. If Sponsor is prevented from awarding the prize or continuing the Promotion by fire, flood, epidemic, public health crisis, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, supply-chain disruption, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), any federal, state, or local law, order, or regulation, any order of a court, or any other cause not reasonably within Sponsor’s control (each a “Force Majeure” event), then, subject to any governmental approval that may be required, Sponsor may modify, suspend, extend, or terminate the Promotion. Any modification will be made in accordance with applicable law.
These Official Rules may not be modified except in a writing issued by a duly authorized representative of Sponsor in accordance with law. The invalidity or unenforceability of any provision of these Official Rules shall not affect any other provision, and these Official Rules shall be construed as if the invalid or unenforceable provision were omitted. Sponsor’s failure to enforce any provision does not waive that provision.
18. GOVERNING LAW
ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION, AND ENFORCEABILITY OF THESE OFFICIAL RULES, OR THE RIGHTS AND OBLIGATIONS OF PARTICIPANTS OR SPONSOR IN CONNECTION WITH THE PROMOTION, SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF DELAWARE, WITHOUT GIVING EFFECT TO ANY CHOICE-OF-LAW OR CONFLICT-OF-LAW RULES THAT WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY OTHER JURISDICTION.
19. ARBITRATION AND CLASS ACTION WAIVER
By participating in the Promotion, each participant agrees that: (i) any and all disputes the participant may have with, or claims the participant may have against, the Promotion Entities relating to, arising out of, or connected in any way with (a) the Promotion, (b) the award, delivery, or use of any prize, or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the JAMS rules then in effect; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16; (iii) the arbitration shall be held in Wilmington, Delaware, or, at the participant’s election, by video conference; (iv) the arbitrator’s decision shall be controlled by these Official Rules and any other agreement referenced herein to which the participant is a party; (v) the arbitrator shall apply Delaware law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claim to be arbitrated on a class or representative basis, the arbitration may decide only the participant’s and Sponsor’s individual claims, and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the participant or Sponsor; (viii) if the administrative fees and deposits that must be paid to initiate arbitration against Sponsor exceed $125 USD, and the participant is unable (or not required under the JAMS rules) to pay any fees and deposits that exceed this amount, Sponsor agrees to pay them or forward them on the participant’s behalf, subject to ultimate allocation by the arbitrator; (ix) if the participant demonstrates that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the participant’s filing and hearing fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (x) with the exception of subpart (vi), if any part of this arbitration provision is deemed invalid, unenforceable, or illegal, or otherwise conflicts with the JAMS rules, the balance of this arbitration provision shall remain in effect and shall be construed as if the invalid, unenforceable, illegal, or conflicting part were omitted. If, however, subpart (vi) is found invalid, unenforceable, or illegal, this entire arbitration provision shall be null and void, and neither the participant nor Sponsor shall be entitled to arbitrate their dispute. For more information on JAMS and its rules, visit www.jamsadr.com. Nothing in this Section applies to the extent prohibited by the law of the participant’s jurisdiction of residence.
20. SOCIAL MEDIA
The Promotion is in no way sponsored, endorsed, or administered by, or associated with, Instagram, Facebook, X, TikTok, YouTube, or any other social media platform. Participants are providing information to Sponsor, not to any social media platform. Any ambassador, influencer, or other person who promotes the Promotion on Sponsor’s behalf does so as Sponsor’s representative and has no authority to modify these Official Rules.
